1. Agreement to Terms
By accessing this website, you are agreeing to be bound by these Terms of Service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials contained in this website are protected by applicable copyright and trademark law.
2. Provision of Digital Marketing Services
Digital Darcy Limited agrees to provide the client with digital marketing services as detailed in a separate Statement of Work (SOW) or service agreement. These services may include, but are not limited to, Search Engine Optimization (SEO), Pay-Per-Click (PPC) advertising, Social Media Marketing, Content Marketing, and consulting.
- Timelines: Project timelines are estimates and are subject to change based on client feedback, scope adjustments, and other factors outside of our control. Digital Darcy Limited will make every reasonable effort to meet the agreed-upon deadlines.
- Client Responsibilities: The client agrees to provide timely feedback, necessary access to accounts (e.g., website backend, analytics, ad accounts), and any required content or materials to facilitate the provision of services.
3. Payment Terms
Payment for services will be governed by the terms outlined in the client's individual SOW or contract. Typically, services are billed on a monthly retainer basis, payable in advance. Failure to make timely payments may result in a suspension of services.
4. Intellectual Property
Any pre-existing intellectual property belonging to either party remains the property of that party. Any new materials created by DomainLLC specifically for the client as part of the services (e.g., ad copy, custom-designed graphics, blog content) shall become the property of the client upon full and final payment for the services rendered.
5. Confidentiality
Both parties agree to keep confidential all non-public information learned about the other's business. This includes financial details, marketing strategies, customer data, and other proprietary information. This obligation of confidentiality extends beyond the termination of any service agreement.
6. Limitation of Liability
DomainLLC will not be liable for any indirect, special, or consequential damages, or any loss of revenue, profits, or data arising in connection with this Agreement or the services provided. Our total liability in connection with this Agreement will not exceed the total fees paid by the client to us. For more information, please see our Disclaimer.
7. Termination
Either party may terminate the service agreement with a written notice, typically 30 days in advance, as specified in the SOW. Upon termination, the client is responsible for all fees incurred up to the date of termination.
8. Modifications
Digital Darcy Limited may revise these terms of service for its website at any time without notice. By using this website you are agreeing to be bound by the then current version of these terms of service.
